1. Acceptance of Terms
By commissioning artwork from Arrita S. N. Robinson (“Artist”), you (“Client”) agree to these Terms and Conditions in full. These terms govern all custom artwork commissions, including but not limited to works created in oils, acrylics, charcoal, pastels, colored pencils, and digital media.
Reading and understanding these terms before commissioning work is the client’s responsibility. Submission of a commission request and/or payment of a deposit constitutes acceptance of these terms.
2. Commission Process
2.1 Initial Consultation
- The client submits a commission inquiry via email to hello@arritarobinson.com
- The artist reviews the request and determines the feasibility
- The artist provides a preliminary quote and estimated timeline, and confirms availability
- No obligation exists until the deposit is received
2.2 Project Approval
- The artist provides a detailed quote, including:
- Medium and materials
- Dimensions
- Estimated completion timeline
- Total cost breakdown
- Payment schedule
- Client approves quote and timeline in writing
- The client submits the required deposit to secure the commission slot
2.3 Creation Process
- The artist begins work upon receipt of the deposit
- The artist maintains creative control over technical execution
- The client may request progress updates at agreed-upon intervals
- An artist is not obligated to provide daily updates
3. Pricing and Payment
3.1 Pricing Structure
- All prices quoted in USD
- Pricing determined by:
- Complexity of subject matter
- Size and dimensions
- Medium and materials required
- Timeframe and urgency
- Custom quotes provided for each commission
- Prices are firm once approved; changes to the scope may result in a price adjustment
3.2 Payment Schedule
Standard commissions:
- 50% non-refundable deposit due upon project approval
- 50% balance due upon completion, before delivery/shipment
Large-scale or extended timeline commissions:
- Payment schedule negotiated on a case-by-case basis
- May include milestone payments
3.3 Accepted Payment Methods
- Bank transfer/ACH
- Credit/Debit cards
- PayPal
- Venmo
- Zelle
- Other methods by arrangement
3.4 Late Payments
- The final balance must be paid within 7 days of completion notification
- Artwork will not be shipped or delivered until full payment is received
- Late payments may incur storage fees of $25 per week after the initial 7-day period
- After 30 days of non-payment, the Artist reserves the right to resell the artwork and retain all payments made
4. Timeline and Delivery
4.1 Estimated Completion Time
- The timeline provided at project approval is an estimate, not a guarantee
- Typical completion time: 4-12 weeks, depending on complexity and current workload
- Rush commissions may be available for an additional fee
- Delays due to illness, emergency, or unforeseen circumstances will be communicated promptly
4.2 Timeline Extensions
The artist reserves the right to extend the timeline due to:
- Complexity discovered during the creation process
- Material availability issues
- Health or emergencies
- Client-requested changes or revisions
4.3 Delivery and Shipping
Local pickup (Philadelphia area):
- Available by appointment
- The client is responsible for safe transportation
- No additional charge
Domestic shipping:
- Calculated based on size, weight, and destination
- Professional packaging included
- Insurance is recommended and available at the Client’s expense
- Shipping costs are paid by the client unless otherwise negotiated
International shipping:
- Available upon request
- The client is responsible for all customs fees, duties, and taxes
- Extended delivery times expected
- Additional packaging requirements may apply
4.4 Risk of Loss
- Risk of loss or damage transfers to the client upon delivery or shipment
- The artist is not responsible for damage during shipping unless caused by inadequate packaging
- Insurance is strongly recommended for valuable pieces
5. Revisions and Changes
5.1 Scope Changes
- Changes to the approved project scope require written approval
- Significant changes may result in adjusted pricing and timeline
- The artist reserves the right to decline scope changes that compromise artistic integrity
5.2 Revision Policy
During the creation process:
- The client may request reasonable adjustments at agreed-upon progress checkpoints
- Major changes may incur additional fees
- The artist maintains final say on technical execution
After completion:
- Minor adjustments may be possible depending on the medium
- Additional fees will apply
- Some media (watercolor, certain digital processes) may not allow post-completion changes
- The client must identify needed revisions within 48 hours of completion notification
5.3 Revision Limits
- One round of reasonable revisions is included in the base price
- Additional revision rounds billed at $75/hour
- Extensive revisions may be declined if they compromise the work’s integrity
6. Cancellation and Refunds
6.1 Client Cancellation
Before work begins:
- If cancelled before the Artist begins work, the deposit will be refunded minus a 25% administrative fee
After work begins:
- The deposit is nonrefundable.
- The client may receive work-in-progress at the current stage
- No refund of payments made
After completion:
- No refunds once work is completed
- The client remains obligated to pay the balance due
6.2 Artist Cancellation
If the artist must cancel the commission:
- All payments refunded in full
- The artist will make a reasonable effort to recommend alternative artists
- Artist not liable for consequential damages
6.3 Mutual Termination
- Both parties may agree to terminate the project
- Refund terms negotiated based on work completed
- Client receives work-in-progress if desired
7. Copyright and Intellectual Property
7.1 Copyright Ownership
- The artist retains full copyright to all commissioned artwork
- Copyright is NOT transferred with the sale of physical artwork
- The client receives physical artwork only, not reproduction rights
7.2 Artist’s Rights
The artist retains the right to:
- Photograph artwork for portfolio and promotional purposes
- Display artwork in exhibitions, galleries, or online
- Create prints or reproductions for sale
- Use images of artwork in marketing materials
- Post artwork on social media and the website.
- Enter artwork in competitions or shows
7.3 Client Usage Rights
Personal use only:
- The client may display artwork in private settings
- The client may photograph for personal records
- Client may not reproduce, print, or create derivative works
- The client may not use it for commercial purposes without a written license
Social Media:
- The client may post photos of artwork on their personal social media
- Posts must credit the artist as “Artwork by Arrita S. N. Robinson | ArritaRobinson.com.”
- Tag the artist when possible: Instagram/Facebook/etc.
7.4 Commercial Licensing
- Reproduction rights available for an additional fee
- Commercial usage requires a separate licensing agreement
- Contact the Artist for licensing inquiries and rates
7.5 Resale Rights
- Client may resell physical artwork
- The artist must be credited in any resale listing
- The artist retains all reproduction and copyright
- Resale does not transfer reproduction rights to the new owner
8. Client Responsibilities
8.1 Information Provided
Client must provide:
- Clear description of desired artwork
- Reference materials if a specific subject is required
- Size and format preferences
- Deadline requirements (if applicable)
- Accurate shipping/delivery information
8.2 Communication
- The client must respond to Artist inquiries within 7 business days
- Delayed responses may extend the project timeline
- Failure to respond for 30 days may result in project cancellation
8.3 Reference Materials
- Client warrants they have the right to any reference photos provided
- The artist is not liable for copyright issues arising from Client-provided materials
- The client releases the artist from liability for creating work from provided references
9. Quality and Satisfaction
9.1 Artistic Interpretation
- The artist maintains creative control over technical execution and artistic choices
- Final artwork may vary from the initial concept due to the creative process
- An artist’s professional judgment guides material choices, color mixing, and technique
- Commissions are custom artwork, not exact reproductions of concepts
9.2 Materials and Archival Quality
- An artist uses professional-grade materials appropriate to the medium
- Archival-quality materials are used when specified
- The artist makes no guarantees about permanence beyond the standard for the medium chosen
- Proper care and preservation are the Client’s responsibility
9.3 Color Variation
- Colors in digital previews may differ from physical artwork due to screen variations
- The artist matches colors as closely as possible to references or specifications
- Exact color matching is not guaranteed due to limitations of physical media
- Natural variations inherent in handmade artwork
9.4 Imperfections
- Minor imperfections are characteristic of handmade artwork
- Small variations, texture differences, and unique qualities are not defects
- The artist will address significant technical flaws
9.5 Satisfaction Disputes
- Client must notify Artist of concerns within 48 hours of delivery
- The artist and Client will work in good faith to resolve issues
- The artist’s assessment of technical quality is final
- Artistic preference differences are not grounds for a refund
10. Disclaimers and Limitations
10.1 No Guarantees
The artist makes no guarantees regarding:
- Exact color matching to digital references
- Specific emotional responses to artwork
- Appreciation or value increases over time
- Suitability for specific display conditions
10.2 Care and Maintenance
- The client is responsible for the proper care and maintenance of the artwork
- The artist may provide care instructions appropriate to the medium
- Damage from improper care, storage, or display is not covered
10.3 Limitation of Liability
- The artist’s liability is limited to the refund of amounts paid for the commission.
- The artist is not liable for consequential, incidental, or special damages
- The artist is not liable for damages arising from:
- Shipping and handling (unless caused by inadequate packaging)
- Improper care or display
- Natural deterioration over time
- Acts of God, theft, or vandalism
11. Confidentiality
11.1 Project Confidentiality
- The artist maintains the confidentiality of private/sensitive subject matter
- The artist will not disclose personal information about the Client without permission
- Public figures and non-sensitive subjects are not considered confidential
11.2 Portfolio Use Exceptions
If the client requires complete confidentiality:
- Must be specified in writing before commission begins
- May incur an additional fee (typically 25% of commission cost)
- The artist will not photograph, display, or reference artwork publicly
- Confidentiality agreement provided upon request
12. Special Circumstances
12.1 Gift Commissions
- The person placing the order is the Client and is bound by these terms
- Payment responsibility remains with the person placing the order
- Shipping to the gift recipient is acceptable
- The artist is not responsible for gift timing disappointments
12.2 Posthumous or Memorial Works
- Artist approaches memorial commissions with appropriate sensitivity
- Extended timelines may apply
- Additional consultation time included
- Special care is taken with family heirlooms or photographs
12.3 Pet Portraits
- Multiple reference photos are required for accuracy
- High-resolution images preferred
- The artist may request additional photos during the process
- Natural variations in fur are features that are normal in handmade work
13. Disputes and Resolution
13.1 Good Faith Negotiation
- Both parties agree to negotiate disputes in good faith
- Open communication is encouraged before formal action
13.2 Mediation
- Disputes not resolved through negotiation may be submitted to mediation
- Mediation costs are shared equally
- Mediation conducted in Philadelphia, Pennsylvania, or via an online platform
13.3 Governing Law
- These terms are governed by the laws of the Commonwealth of Pennsylvania
- Venue for any legal action: Philadelphia County, Pennsylvania
14. General Provisions
14.1 Entire Agreement
- These terms constitute the entire agreement between the artist and the client.
- Supersedes all prior discussions, understandings, or agreements
- Modifications must be in writing and signed by both parties
14.2 Severability
- If any provision is deemed unenforceable, the remaining provisions remain in effect
- Unenforceable provision modified to the minimum extent necessary
14.3 No Waiver
- Failure to enforce any provision does not constitute a waiver
- Waiver of one breach does not waive subsequent breaches
14.4 Assignment
- The client may not assign or transfer the commission agreement without the Artist’s consent
- The artist may assign obligations to another qualified artist if necessary
14.5 Force Majeure
The artist is not liable for delays or non-performance due to:
- Natural disasters
- Pandemics or public health emergencies
- Government actions or restrictions
- Other circumstances beyond reasonable control
14.6 Changes to Terms
- The artist reserves the right to modify these terms
- Changes apply to commissions initiated after the effective date of the changes
